Marketplace Terms and Conditions

These Marketplace Terms ("Marketplace Terms") govern the sale and purchase of paid games through the Beemi platform. These terms supplement and are incorporated into our Terms of Service.

1. Marketplace Overview

1.1 Platform Role

Beemi operates as a marketplace facilitator, NOT a merchant. This means:

Creators are independent sellers who set prices and offer games for sale
Beemi provides the platform, payment processing, and hosting infrastructure
The sale contract is formed between the Creator (seller) and Player (buyer)
Beemi is NOT the seller or owner of Creator-made games
Beemi facilitates transactions and takes a commission for platform services

1.2 Commission Structure

Beemi retains a 30% platform commission on all paid game sales:

Creator receives: 70% of the sale price
Beemi receives: 30% for platform services, payment processing, hosting, and infrastructure
Commission is calculated after payment processing fees
Refunds and chargebacks are deducted from the Creator's 70% share

1.3 What You're Purchasing

Important: When you purchase a game, you are buying a non-exclusive, non-transferable license to access and play that game on the Beemi platform. You are NOT purchasing:

Ownership of the game or its intellectual property
The right to redistribute, modify, or resell the game
The source code or game files
A physical product or downloadable file outside the Beemi app

2. For Buyers (Players)

2.1 Purchase Requirements

To purchase paid games, you must:

Have a valid Beemi account
Be at least 13 years old (or age of majority in your jurisdiction for financial transactions)
Have authorization to use the payment method
Accept these Marketplace Terms

2.2 Pricing and Payment

All prices are set by Creators and displayed in USD (additional currencies may be added)
Prices include any applicable sales tax or VAT at checkout
Payment is processed securely through our payment provider (Stripe)
You will receive an email receipt after purchase
Purchased games appear in your "My Games" library

2.3 Access to Purchased Games

After purchase:

You have indefinite access to the game through your Beemi account
Access is tied to your account and cannot be transferred
You can play the game unlimited times
You can access the game on any device where you're logged in
Game updates and bug fixes are provided free by the Creator

2.4 Refund Policy

7-Day Refund Window:

You may request a refund within 7 days of purchase
Refunds are available if:
- The game is non-functional or severely broken
- The game does not match its description
- You experience technical issues preventing gameplay
- You simply changed your mind (within 7 days)
Refunds may be denied if:
- You have played the game for more than 2 hours
- You have a history of excessive refund requests (abuse prevention)
- The purchase was made more than 7 days ago

EU Consumer Rights: If you are located in the European Union, you have a 14-day withdrawal right for digital goods. By clicking "Purchase" and downloading the game, you expressly consent to immediate access and acknowledge that you waive your 14-day withdrawal right for this digital content. You can still request a refund under our standard 7-day policy above.

How to Request a Refund:

Go to "My Purchases" in your account
Select the game you want to refund
Click "Request Refund" and provide a reason
Refunds are typically processed within 3-5 business days
You will receive an email when your refund is approved or denied

2.5 No Guarantee of Quality

Disclaimer: Beemi does not guarantee the quality, functionality, or suitability of any paid game. While we review games before approval, Creators are solely responsible for the quality and functionality of their games. You purchase games "as is" with the protections of our refund policy.

2.6 Game Removal

If a Creator unpublishes a paid game or their account is terminated:

You retain access to games you've already purchased
We will make reasonable efforts to keep purchased games accessible
In cases of legal violations or malicious content, we may remove access and issue automatic refunds

3. For Sellers (Creators)

3.1 Eligibility to Sell

To sell games on the marketplace, you must:

Be at least 18 years old
Complete identity verification (KYC) through our payment processor
Provide required tax information (W-9 for US, W-8BEN for international)
Have a valid bank account or PayPal account for payouts
Accept the Developer Agreement and these Marketplace Terms
Comply with all applicable laws in your jurisdiction

Age Requirement: Sellers must be 18 or older. We do NOT accept parental consent for minors to sell. This is required by our payment processor and applicable financial regulations.

3.2 Identity Verification (KYC)

All sellers must complete Know Your Customer (KYC) verification:

Provide your legal name and address
Submit government-issued ID (passport, driver's license, etc.)
Verify your date of birth (18+ confirmation)
Verification typically takes 1-3 business days
You cannot receive payouts until verification is complete
We use Stripe Identity or equivalent service for secure verification

3.3 Tax Responsibilities

Important Tax Information:

You are solely responsible for all taxes on your earnings
Beemi is required to report earnings to tax authorities
US Creators: You will receive Form 1099-K if you earn $600+ per year
International Creators: You must provide Form W-8BEN
You may be required to pay income tax, self-employment tax, and VAT (depending on jurisdiction)
Consult a tax professional for your specific situation

3.4 Pricing and Listing Games

As a Creator, you have control over pricing:

Set prices between $0.99 and $49.99 (limits subject to change)
Change prices at any time (does not affect existing purchases)
Offer temporary discounts or sales
Provide accurate game descriptions, screenshots, and categories
Disclose any content warnings (violence, adult themes, etc.)

3.5 Game Approval Process

All paid games undergo review before being listed:

Submission: Submit game for review when ready
Review: Beemi reviews for quality, functionality, and policy compliance (24-72 hours)
Approval: Game goes live on marketplace
Rejection: You receive feedback and can resubmit after fixes

Review Criteria:

Game is fully functional and playable end-to-end
No game-breaking bugs
Description accurately represents the game
No copyright or trademark infringement
Complies with Acceptable Use Policy
Meets minimum quality standards (not spam or low-effort)
Price is reasonable for content provided

3.6 Prohibited Content & Mechanics

Strictly Prohibited:

❌ Gambling mechanics: No real-money betting, loot boxes, or random paid rewards
❌ Pay-to-win tournaments: No paid entry with cash prizes
❌ Infringing content: No copyrighted characters, music, or assets without license
❌ Malicious code: No viruses, exploits, or data harvesting
❌ Misleading marketing: No false claims about gameplay or features
❌ Inappropriate content: No pornography, extreme violence, hate speech
❌ Scams: No fake games, placeholder content, or non-functional products

3.7 Revenue and Payouts

Payout Schedule:

Payouts processed monthly (around the 15th of each month)
Minimum payout threshold: $25
Earnings below threshold roll over to next month
First payout has a 30-day hold (fraud prevention)

What Reduces Your Payout:

Refunds issued to buyers (deducted from your 70% share)
Chargebacks (disputed charges - deducted plus $15 chargeback fee)
Payment processing fees (already accounted for in 70/30 split)

Payout Methods:

Bank transfer (ACH for US, SWIFT for international)
PayPal (where available)
You can change payout method anytime in your Creator Dashboard

3.8 Earnings Dashboard

Track your revenue in real-time:

Total lifetime earnings
Pending payout amount
Revenue per game
Refund and chargeback history
Purchase transaction log
Tax documents (1099-K, earnings statements)

3.9 Chargebacks

A chargeback occurs when a buyer disputes a charge with their bank:

You are responsible for chargebacks on your games
Chargeback amount + $15 fee deducted from your earnings
High chargeback rate (>2%) may result in account suspension
You can provide evidence to dispute invalid chargebacks
Best prevention: Accurate descriptions, functional games, good support

3.10 Creator Support Obligations

As a seller, you should:

Respond to buyer questions and feedback
Fix bugs and maintain your paid games
Update games for platform compatibility
Provide refunds when appropriate
Be reachable through Beemi messaging system

Recommended response time: 48 hours for buyer inquiries

4. Intellectual Property

4.1 Creator Rights

You retain full copyright ownership of your games
You grant Beemi a non-exclusive license to host, distribute, and market your game
You can sell your game on other platforms (non-exclusive)
You can unpublish your game anytime (existing buyers retain access)

4.2 Creator Warranties

By listing a paid game, you warrant that:

You own all rights to the game and its assets
You have proper licenses for any third-party content
The game does not infringe any copyrights, trademarks, or patents
The game does not violate any laws
You have the right to sell and distribute the game

4.3 Copyright Infringement

If your game infringes someone else's intellectual property:

We will remove the game immediately upon receiving a valid DMCA notice
You may be required to issue refunds to all buyers
You may be liable for damages to the copyright owner
Repeat infringers will be permanently banned

5. Platform Rights and Moderation

5.1 Right to Remove Games

Beemi reserves the right to remove any paid game:

That violates our policies or applicable laws
That receives excessive refund requests or complaints
That is non-functional or severely broken
That infringes third-party intellectual property
That contains malicious code or security vulnerabilities
At our sole discretion if we deem it harmful to the platform

When we remove a game:

We will notify you via email with reason
Buyers may receive automatic refunds (deducted from your earnings)
You can appeal the decision
Repeated violations may result in account termination

5.2 Account Suspension or Termination

We may suspend or terminate your selling privileges if:

You violate these terms repeatedly
You have excessive chargebacks (>2% of sales)
You have excessive refunds (>10% of sales sustained over 30 days)
You engage in fraud or manipulation
You provide false information during KYC
You upload malicious or illegal content

If your account is terminated:

You forfeit any pending payouts below the minimum threshold
Earned amounts above threshold will be paid after 90-day hold period
All your games will be unpublished
You may be banned from creating new accounts

6. Fraud Prevention

6.1 Prohibited Activities

Strictly Prohibited:

Purchasing your own games to inflate sales
Coordinating fake purchases with friends/family
Manipulating rankings or reviews
Creating multiple accounts to circumvent restrictions
Using stolen credit cards
Refund abuse (buying, playing, refunding repeatedly)

6.2 Fraud Detection

We actively monitor for fraudulent activity:

Automated detection systems flag suspicious patterns
Manual review of flagged transactions
Payout holds for suspicious accounts (30-90 days)
Account termination for confirmed fraud
Cooperation with law enforcement when necessary

7. Disclaimers and Liability

7.1 Platform Disclaimers

Important Disclaimers:

Beemi is a facilitator, NOT a merchant or seller
We do not guarantee the quality, safety, or legality of any paid game
Creators are solely responsible for their games
We do not guarantee any specific revenue or sales volume
We do not guarantee uninterrupted access to the marketplace
Payment processing is subject to third-party provider terms

7.2 Limitation of Liability

To the maximum extent permitted by law:

Beemi is not liable for disputes between Creators and Players
Beemi is not liable for Creator earnings or lost revenue
Beemi is not liable for payment processing errors or delays
Beemi's total liability is limited to the amount paid in the specific transaction
Beemi is not liable for indirect, consequential, or punitive damages

7.3 Indemnification

For Creators: You agree to indemnify and hold harmless Beemi from any claims, damages, or expenses arising from:

Your games or content
Your breach of these terms
Infringement of third-party rights
Your interactions with buyers

8. Changes to Marketplace Terms

8.1 Updates

We may update these Marketplace Terms:

We will notify you at least 30 days before material changes
Notification via email and in-app announcement
Continued use of the marketplace constitutes acceptance
If you disagree, you may unpublish your games and stop using the marketplace

8.2 Commission Changes

If we change the commission structure:

We will provide at least 90 days' notice
Existing games can be grandfathered at old rate (at our discretion)
You can unpublish games if you disagree with new rates

9. Dispute Resolution

9.1 Between Buyers and Creators

If you have a dispute about a game purchase:

Try to resolve directly: Contact the Creator through Beemi messaging
Request refund: Use our refund request system
Contact Support: If unresolved, contact support@beemi.app
Chargeback: As a last resort, dispute with your bank (but this hurts the Creator)

9.2 With Beemi

Disputes with Beemi regarding marketplace transactions are subject to the arbitration clause in our Terms of Service.

10. International Considerations

10.1 Currency

All transactions currently in USD
Multi-currency support planned for future
Exchange rates for international creators determined by payment processor

10.2 Taxes by Jurisdiction

US: Sales tax collected where required (handled by platform)
EU: VAT collected and remitted (handled by platform or MoR service)
Other: GST/VAT collected as required by law
Creators are responsible for income tax in their jurisdiction

10.3 Payout Delays for International Creators

International wire transfers may take 5-10 business days
Additional verification may be required for certain countries
Some countries may have restricted payout options
