This Developer Agreement ("Agreement") is a legal contract between you ("Developer," "you," "your") and Qene Games Inc ("Beemi," "we," "our," "us") governing your use of the Beemi Studio Dashboard to create, publish, and distribute games on the Beemi platform.
This Agreement is supplemental to and incorporates our Terms of Service, Privacy Policy, and Acceptable Use Policy. In case of conflict, this Agreement takes precedence for Studio-specific matters.
Important: By creating or publishing games through the Beemi Studio, you agree to all terms in this Developer Agreement. If you do not agree, do not use the Studio or publish games.
1. Developer Account and Responsibilities
1.1 Account Requirements
To use the Studio Dashboard, you must:
- Be at least 18 years old (or age of majority in your jurisdiction)
- Have a valid Google account for authentication
- Provide accurate and truthful information
- Comply with all applicable laws and regulations
- Accept this Developer Agreement upon first project creation
1.2 Account Security
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Immediately notifying us of unauthorized access
- Not sharing your account with others
1.3 Developer Information
You agree to provide and maintain:
- Accurate contact information
- Tax information (if applicable for future monetization)
- Business information (if operating as a business)
2. Intellectual Property Rights
2.1 Your Ownership of Games
You Retain Copyright: You retain full copyright ownership of original games, code, assets, and content you create using the Beemi Studio Dashboard. We do not claim ownership of your creative work.
2.2 License Grant to Beemi
By publishing a game through the Studio, you grant Beemi a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to:
- Host and store your game on our servers and CDN
- Distribute your game through the Beemi mobile application
- Display your game in our catalog, marketplace, and promotional materials
- Allow end users (Players) to access, download, and play your game
- Create derivative works necessary for platform operation (e.g., thumbnails, preview images)
- Analyze usage data and provide analytics to you
- Make backups and copies for service reliability
- Transcode or optimize for performance (with your consent for material changes)
Duration: This license continues for as long as your game is published on Beemi and for a reasonable transition period (30 days) after unpublishing to allow existing players to complete sessions.
2.3 SDK and Platform License
Beemi grants you a limited, non-exclusive, non-transferable license to use the Beemi SDK and platform tools solely for creating games to be published on Beemi. You may not:
- Use the SDK for games published on other platforms
- Reverse engineer or decompile the SDK
- Create derivative works of the SDK itself
- Remove or modify SDK copyright notices
2.4 Beemi's Intellectual Property
All rights in the following remain the exclusive property of Beemi:
- Beemi SDK and platform technology
- Studio Dashboard interface and tools
- Beemi trademarks, logos, and branding
- Platform analytics and data systems
3. Game Development and Publishing
3.1 Development Tools
The Studio provides:
- AI-assisted code generation
- Visual game editor
- Code editor with syntax highlighting
- Asset management and storage
- Version control and rollback
- Live preview and testing
- Publishing pipeline
3.2 AI-Generated Content
AI Assistance Disclaimer: The Studio uses third-party AI services (OpenAI, Anthropic) to generate code. You acknowledge:
- AI-generated code is a suggestion tool, not a guarantee
- You are solely responsible for reviewing and testing all AI output
- We make no warranties about AI accuracy or functionality
- You must ensure AI-generated code doesn't infringe third-party rights
- Final published games are your responsibility
3.3 Testing Requirements
Before publishing, you must:
- Thoroughly test your game for functionality and bugs
- Verify compatibility with target devices and browsers
- Ensure game follows Beemi SDK best practices
- Review all content for policy compliance
- Test multiplayer features if applicable
- Verify all external assets have proper licenses
3.4 Publishing Process
When you publish a game:
- Technical Review: We may perform automated checks for technical issues, malicious code, or policy violations
- Not Content Review: We do not review game content for quality, accuracy, or appropriateness (that's your responsibility)
- Rejection: We reserve the right to reject games that violate our policies or have critical technical issues
- Publication: Approved games appear in the mobile app catalog
3.5 Version Control
You can:
- Create multiple versions of your games
- Roll back to previous versions
- Maintain separate development and production versions
- Archive old versions (we store version history for 90 days minimum)
4. Developer Warranties and Representations
4.1 Ownership and Rights
You represent and warrant that:
- You own or have obtained all necessary rights, licenses, and permissions for your game content
- Your games do not infringe any third-party intellectual property rights
- You have the legal right and authority to enter into this Agreement
- All information you provide is accurate and truthful
4.2 Content Compliance
You warrant that your games:
- Comply with our Acceptable Use Policy
- Do not violate any applicable laws or regulations
- Do not contain malicious code, viruses, or security vulnerabilities
- Are accurately described and categorized
- Include appropriate content warnings if needed
4.3 Third-Party Assets
For any third-party assets (images, fonts, audio, code libraries) used in your games, you warrant:
- You have proper licenses or permissions
- You comply with all license terms (attribution, usage restrictions)
- You maintain records of licenses
- Assets are from legitimate sources
5. Developer Responsibilities
5.1 Game Quality
You are responsible for:
- The functionality, quality, and performance of your games
- Bug fixes and updates
- Player experience and satisfaction
- Responding to player feedback and reports
- Maintaining games in working condition
5.2 Player Support
You should:
- Provide clear game instructions or tutorials
- Respond to player questions (optional but recommended)
- Address reported bugs in reasonable time
- Consider player feedback for improvements
5.3 Content Moderation
If your game includes user-generated content:
- You must implement appropriate moderation
- Provide reporting mechanisms for players
- Comply with platform-wide content policies
- Respond to abuse reports
5.4 Updates and Maintenance
You should:
- Keep games updated and compatible with platform changes
- Fix critical bugs promptly
- Notify players of significant changes
- Archive or remove games you can no longer maintain
6. Analytics and Data
6.1 Analytics Provided to You
Beemi provides you with:
- Play Metrics: Number of plays, unique players, session duration
- Engagement: Completion rates, retention, return players
- Performance: Load times, error rates, crash data
- Demographics: Aggregated data (country, platform) - no personal information
6.2 Data You Cannot Access
For privacy protection, you cannot access:
- Individual player identities or contact information
- Personally identifiable information (PII)
- Player accounts or authentication data
- Detailed user behavior beyond your games
6.3 Data Usage by Beemi
We may use aggregated game data to:
- Improve platform features and recommendations
- Generate platform-wide statistics
- Train AI models (with anonymization)
- Market the platform
7. Paid Games and Monetization

7.1 Eligibility to Sell Paid Games
To sell games on the Beemi marketplace, you must:
- Be at least 18 years old (no exceptions, no parental consent)
- Complete identity verification (KYC) through our payment processor
- Provide required tax information (W-9 for US, W-8BEN for international)
- Have a valid payout method (bank account or PayPal)
- Be in good standing (no policy violations)
- Comply with all applicable laws in your jurisdiction
Age Requirement: You must be 18 or older to sell games. This is a strict requirement imposed by payment processors and financial regulations. We cannot make exceptions.
7.2 Revenue Share and Commission
Beemi operates on a revenue-sharing model for paid games:
- You receive: 70% of the net sale price
- Beemi receives: 30% for platform services (hosting, payment processing, infrastructure, support)
- Commission is calculated after payment processing fees and taxes
- Refunds and chargebacks are deducted from your 70% share
Example Calculation:
- Game priced at $10.00
- Payment processing fee: $0.59 (2.9% + $0.30)
- Sales tax collected: $0.85 (remitted to tax authorities)
- Net sale price: $8.56
- Your share (70%): $5.99
- Beemi's share (30%): $2.57
7.3 Pricing
You control the price of your paid games:
- Set prices between $0.99 and $49.99
- Change prices anytime (doesn't affect existing purchases)
- Offer temporary discounts or sales
- Prices must be reasonable for the content provided
- Future: Regional pricing and multi-currency support
7.4 Identity Verification (KYC)
All sellers must complete Know Your Customer (KYC) verification:
- Provide your legal name and address
- Submit government-issued ID (passport, driver's license, etc.)
- Verify your date of birth (18+ confirmation)
- Verification typically takes 1-3 business days
- You cannot receive payouts until verification is complete
- Processed securely through Stripe Identity or equivalent
7.5 Tax Responsibilities
Critical Tax Information:
- You are solely responsible for all taxes on your earnings
- Beemi is required to report your earnings to tax authorities
- US Creators: You will receive Form 1099-K if you earn $600 or more per year
- International Creators: You must provide Form W-8BEN
- You may owe income tax, self-employment tax, and VAT (depending on your jurisdiction)
- Consult a tax professional for your specific situation
- Beemi cannot provide tax advice
7.6 Payout Schedule and Terms
Payout Schedule:
- Payouts processed monthly (around the 15th of each month)
- Minimum payout threshold: $25
- Earnings below threshold roll over to the next month
- First payout has a 30-day hold (fraud prevention)
- Subsequent payouts follow standard monthly schedule
Payout Methods:
- Bank transfer (ACH for US, SWIFT for international)
- PayPal (where available)
- Manage payout methods in your Creator Dashboard
What Reduces Your Payout:
- Refunds issued to buyers (deducted from your 70%)
- Chargebacks (amount + $15 chargeback fee)
- Pending earnings below minimum threshold
7.7 Quality Standards for Paid Games
Paid games are held to higher standards than free games. Your paid games must:
- Be fully functional and playable from start to finish
- Have no game-breaking bugs or critical issues
- Include clear instructions or tutorials
- Have accurate and honest descriptions
- Contain appropriate content warnings if needed
- Have screenshots/video that represent actual gameplay
- Be thoroughly tested before submission
- Provide value proportional to the price
7.8 Paid Game Approval Process
All paid games undergo manual review before being listed:
- Submission: Submit your game for review when ready
- Review: Beemi reviews for quality, functionality, and policy compliance (24-72 hours)
- Approval or Rejection: You'll receive notification with feedback
- Go Live: Approved games are immediately available for purchase
Review Criteria:
- Game is fully functional
- Description accurately represents the game
- No copyright or trademark infringement
- Complies with Acceptable Use Policy
- Meets minimum quality standards
- Price is reasonable for content
- No prohibited mechanics (gambling, etc.)
7.9 Prohibited Monetization Mechanics
Strictly Prohibited:
- ❌ Gambling mechanics: No real-money betting, loot boxes, or random paid rewards
- ❌ Pay-to-win tournaments: No paid entry with cash prizes
- ❌ Misleading pricing: No bait-and-switch or hidden costs
- ❌ Scam games: No fake functionality or placeholder content
- ❌ Malicious code: No viruses, data harvesting, or exploits
7.10 Refunds and Chargebacks
Refund Policy:
- Buyers can request refunds within 7 days of purchase
- Refunds may be granted if game is non-functional or doesn't match description
- Refunds may be denied if buyer has played >2 hours or has history of refund abuse
- Refund amounts are deducted from your revenue share
Chargebacks:
- Occur when a buyer disputes a charge with their bank
- Chargeback amount + $15 fee deducted from your earnings
- High chargeback rate (>2%) may result in account suspension
- You can provide evidence to dispute invalid chargebacks
- Best prevention: Accurate descriptions, functional games, good support
How to Minimize Refunds:
- Test thoroughly before publishing
- Write accurate, honest descriptions
- Respond quickly to buyer questions
- Fix bugs promptly when reported
- Provide clear instructions
7.11 Creator Obligations for Paid Games
When you sell games, you commit to:
- Maintenance: Keep games in working condition
- Support: Respond to buyer questions within 48 hours (recommended)
- Bug Fixes: Address critical issues promptly
- Updates: Maintain compatibility with platform changes
- Communication: Be reachable through Beemi messaging
- Honesty: Update descriptions if game changes significantly
7.12 Account Suspension or Termination
Your selling privileges may be suspended or terminated if:
- You violate these terms repeatedly
- You have excessive chargebacks (>2% of sales)
- You have excessive refunds (>10% sustained over 30 days)
- You engage in fraud or manipulation
- You provide false information during KYC
- You upload prohibited content (gambling, malware, IP infringement)
If your account is terminated:
- Pending payouts above minimum threshold paid after 90-day hold
- Earnings below minimum threshold are forfeited
- All your paid games are unpublished
- Buyers who purchased your games retain access
- You may be permanently banned from creating new accounts
7.13 Future Monetization Features
We may introduce additional monetization options in the future:
- In-game purchases or DLC
- Subscription-based access
- Tipping or donations
- Creator merchandise
- Sponsored placements
These features will require acceptance of additional terms when launched.
8. Game Removal and Moderation
8.1 Your Right to Unpublish
You may unpublish your games at any time for any reason through the Studio Dashboard. Effects:
- Game immediately removed from new player access
- Existing players given 7-day grace period to complete sessions
- Analytics data retained but game marked as inactive
- You can republish later if desired
8.2 Beemi's Right to Remove
We may remove your games if they:
- Violate our Terms of Service or Acceptable Use Policy
- Infringe third-party intellectual property rights
- Contain malicious code or security vulnerabilities
- Generate excessive player complaints
- Expose the platform or users to legal liability
8.3 Removal Process
- Minor Violations: Warning + opportunity to fix (3-7 days)
- Serious Violations: Immediate removal with notification
- Appeals: You may appeal removals to appeals@beemi.app
- Permanent Ban: Repeat or egregious violations may result in account termination
9. Liability and Indemnification
9.1 Your Liability
You are solely responsible and liable for:
- Content and functionality of your games
- Compliance with laws and third-party rights
- Player experiences and any harm caused by your games
- Copyright infringement or IP violations
- Security vulnerabilities in your code
9.2 Indemnification
You agree to indemnify, defend, and hold harmless Beemi, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising from:
- Your games or content you publish
- Your violation of this Agreement
- Your infringement of third-party rights
- Claims that your games caused harm to players
- Your violation of applicable laws
9.3 Beemi's Limited Role
Beemi is a hosting platform and marketplace. We:
- Do not endorse or warranty developer content
- Are not responsible for game quality or functionality
- Do not actively moderate all content
- Respond to reports and complaints
- Act as a neutral intermediary
10. Term and Termination
10.1 Agreement Duration
This Agreement remains in effect as long as you maintain a Developer account or have published games on Beemi.
10.2 Termination by You
You may terminate this Agreement by:
- Unpublishing all your games
- Deleting your Developer account
- Contacting support@beemi.app to request account closure
10.3 Termination by Beemi
We may terminate your Developer account if:
- You violate this Agreement or our policies
- You engage in fraudulent or illegal activities
- Your account is inactive for 24 months
- You are a repeat policy violator
- Required by law
10.4 Effects of Termination
Upon termination:
- Your license to use the Studio ends immediately
- All published games will be removed (30-day grace period when feasible)
- You lose access to analytics and project data
- The license you granted to Beemi for published games survives for 30 days to allow orderly removal
- Sections regarding liability, indemnification, and intellectual property survive termination
11. Changes to This Agreement
We may modify this Developer Agreement from time to time. For material changes:
- We will email you at least 30 days before changes take effect
- We will display a notification in the Studio Dashboard
- Continued use after the effective date constitutes acceptance
- If you don't agree, you may terminate this Agreement
12. General Provisions
12.1 Relationship
This Agreement does not create a partnership, joint venture, employment, or agency relationship between you and Beemi.
12.2 Independent Contractor
You are an independent contractor. You are responsible for your own taxes, insurance, and business operations.
12.3 Entire Agreement
This Agreement, together with our Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement regarding your use of the Studio Dashboard.
12.4 Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
12.5 Governing Law
This Agreement is governed by the laws of the State of Delaware, United States.
